Explanatory Note

On November 23, 2021, Tremor International Ltd. (the “Company”) issued a regulatory news service announcement titled “Statement re Press Speculation” (the “Announcement”).

The Announcement is furnished herewith as Exhibit 99.1 to this Report of Foreign Private Issuer on Form 6-K.  The information in this report of foreign private issuer on Form 6-K is hereby incorporated by reference into the Company’s registration statement on Form S-8 (Registration No. 333-258731), to be a part thereof from the date on which this report is submitted, to the extent not superseded by documents or reports subsequently filed or furnished.

Statement re Press Speculation

Tremor International Ltd. (AIM/NASDAQ: TRMR), a global leader in Video and Connected TV ('CTV') advertising, offering an end-to-end technology platform that enables advertisers to reach relevant audiences and publishers to maximize yield on their digital advertising inventory, notes the recent media speculation.

The board would like to clarify that as a high growth technology company, Tremor is routinely engaged from time to time across a number of strategic discussions with both third parties and its shareholders and considers this ‘normal course of business’.

To that end, the Board confirms that whilst it has entered into a non-disclosure agreement with a third party, no substantial discussions have taken place thus far.

The Company’s underlying performance remains strong along with the Board’s confidence in the future performance of the business.
